Compass Global Announces Completion Of iOnosphere Acquisition _______________________________________________________

Woodcliff Lake, NJ - January 1, 2007  - Compass Global, Inc. and iOnosphere, Inc. have jointly announced the successful completion of Compass Global's acquisition of certain assets of iOnosphere's Wholesale Carrier division. The acquisition nearly doubles the size of Compass Global's wholesale operation and is expected to provide a significant benefit to the Compass Global customers, as well as to the newly acquired iOnosphere customers and carriers.

Compass Global employs one of the industry's only pure next generation Global Enhanced Communications Service networks. Compass Global become the first major global carrier to convert one-hundred percent of its traditional network, switches, systems and infrastructure to the newest state-of-the-art technology using TCP/IP over the public internet to process 100% of the calls transiting its global network. This Enhanced Communications Service network is expected to provide significant benefits to the newly acquired iOnosphere customers and carriers.

Dean Cary, founder and CEO of Compass Global, in a letter to both Compass Global and Ionosphere's customers and  vendors stated, “We believe that this combination of Compass and iOnosphere creates a dynamic new company. It will be an entity with nearly $100M in revenues, more than 1B minutes of international traffic, a premier state-of-the art next generation global VOIP network, one of the industry’s most respected wholesale carrier businesses, and a Prepaid PIN platform with a global network of private label prepaid calling card owners located on five continents who own many of the worlds’ most respected and sought after prepaid calling cards." Cary further stated, "Compass Global's customers will directly benefit from the additional new terminating routes that iOnosphere brings with them. And our vendors will benefit from the larger pool of international minutes that iOnosphere brings with it. Our new organization will serve more than 350 global companies of all sizes located in every corner of the world. Together, we look forward to helping you and your organization become increasingly profitable and successful in your given markets."

Compass Global believes that the acquisition of these iOnosphere assets further reflects the important transitional steps the company has made during its nine and a half years of operation. Cary elaborated on these moves, stating that, "We have evolved from being a traditional wholesale international long distance telecommunications carrier and transitioned ourselves into a true “value-added and enhanced service network" provider to our customers and to our terminating carrier partners. We continue to work hard to have “vision in every direction”. Compass Global’s mission is to provide its customers with the world's highest quality of voice and data calls, achieved by combining its premier Enhanced Communications Services network with it's unique and proprietary "Global Traffic Management" software programs that produce an unmatched level of network quality and customer satisfaction."  The company continues its tradition of dominating a unique niche within the global communications market with its focus on providing extremely high quality international service to very difficult to reach destinations, and reselling service to these destinations to the company's discerning clientele.
